PART A – TERMS & CONDITIONS
1. INTRODUCTION
These Terms & Conditions ("Terms") govern your access to and use of the Kooeee website, mobile application, and related services (collectively, the "Platform"), operated by Kooeee ("Kooeee", "we", "us", or "our").
Kooeee operates a digital marketplace that allows users to list and purchase the right to take over a public parking space in real time.
By creating an account, accessing, or using the Platform, you confirm that you have read, understood, and agreed to be legally bound by these Terms.
2. JURISDICTIONAL SCOPE
These Terms apply to users located in:
- The European Union
- The United Kingdom
- The United States (selected states)
Jurisdiction‑specific provisions apply where required and are set out in Section 19.
3. DEFINITIONS
- "Buyer" means a user who purchases the right to take over a listed parking space.
- "Seller" means a user who lists a parking space they currently occupy.
- "Platform Credits" means non‑monetary credits recorded within a Kooeee account.
- "Transaction" means the successful purchase of a parking space right.
- "Dormant Account" means an account with no buying or selling activity for 24 consecutive months.
4. PLATFORM ROLE
Kooeee is a marketplace platform only. We do not:
- Own, control, or guarantee parking spaces
- Act as an agent, trustee, escrow provider, or payment service provider
- Provide parking services or legal rights to parking beyond facilitating introductions
5. LISTINGS AND TRANSACTIONS
Sellers may list a parking space only if:
- They are physically occupying the space
- The space will be available within the next 2 hours
- The listing complies with local laws and Platform rules
Buyers purchase only the opportunity to take over the space when vacated. No exclusive or guaranteed right is provided.
6. PAYMENTS
All payments are processed by third‑party payment processors (including Stripe and PayPal).
Buyers must maintain a valid registered payment method.
7. PLATFORM CREDITS
7.1 Nature of Credits
Seller earnings are recorded as Platform Credits only.
Platform Credits:
- Are NOT money
- Are NOT e‑money
- Are NOT stored value
- Are NOT safeguarded
- Are NOT held on trust
- Do NOT constitute a payment account
Platform Credits represent a limited, contractual right to request services from Kooeee subject to these Terms.
7.2 Allocation
- 75% of each Transaction is credited to the Seller
- 25% is retained by Kooeee as a service fee
8. WITHDRAWALS
- Withdrawals are permitted only when the Seller's balance exceeds USD $50
- Balances under USD $50 are not withdrawable
- Platform Credits may be used to purchase other listings
- Automatic top‑ups may occur where enabled
9. DORMANCY AND FORFEITURE
9.1 Dormancy
If an account has no buying or selling activity for 24 consecutive months:
- The account is deemed dormant
- The account is closed
9.2 Forfeiture
Upon closure due to dormancy, all remaining Platform Credits are forfeited to Kooeee. Users expressly acknowledge and agree to this forfeiture at account registration.
10. COMPANY SHUTDOWN
If Kooeee ceases operations:
- Platform Credits under USD $50 are forfeited to Kooeee
- Platform Credits over USD $50 may be withdrawn within 30 days of notice
- After 30 days, all unclaimed credits are forfeited
11. USER OBLIGATIONS
Sellers are solely responsible for:
- Compliance with local parking laws
- Remaining in the space until buyer arrival
- Any fines, penalties, or enforcement actions
12. RISK ALLOCATION
Kooeee is not responsible for:
- Parking fines or enforcement
- Towing or vehicle damage
- Buyer or seller misconduct
- Failed arrivals or early departures
All use of the Platform is at the user's own risk.
13. TERMINATION
Kooeee may suspend or terminate accounts at its discretion for breach or risk management.
14. LIMITATION OF LIABILITY
To the maximum extent permitted by law, Kooeee shall not be liable for indirect, incidental, or consequential damages.
15. INDEMNITY
Users agree to indemnify Kooeee against claims arising from their use of the Platform.
16. GOVERNING LAW
- EU users: laws of Ireland
- UK users: laws of England and Wales
- US users: laws of Delaware, USA
17. DISPUTE RESOLUTION (US)
US users agree to binding arbitration and waive class actions where permitted by law.
